1. Acceptance of Terms
By accessing or using Ultimo ("the Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use the Platform. These Terms constitute a legally binding agreement between you and Ultimo. We may update these Terms from time to time; continued use of the Platform after changes are posted constitutes your acceptance of the revised Terms.
2. Eligibility
You must be at least 18 years of age and legally capable of entering into binding contracts under the laws of your jurisdiction to use the Platform. The Platform is not available to residents of jurisdictions where the use of cryptocurrency trading platforms is prohibited by applicable law. By using the Platform you represent and warrant that you meet all eligibility requirements. We reserve the right to refuse service, close accounts, and remove or edit content at our sole discretion.
3. Account Registration & Security
To access certain features you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must notify us immediately of any unauthorised use of your account. Ultimo will not be liable for any loss or damage arising from your failure to comply with this obligation.
4. Permitted Use
The Platform is provided solely for lawful trading and investment activity. You agree not to use the Platform for any illegal or unauthorised purpose, including but not limited to money laundering, fraud, market manipulation, or the financing of terrorism. You agree not to reverse engineer, decompile, or otherwise attempt to extract the source code of the Platform, or to interfere with or disrupt the integrity or performance of the Platform or its associated data.
5. Fees & Payments
Ultimo charges fees for certain services as set out in our Fee Schedule, which is incorporated into these Terms by reference. We reserve the right to modify our fee structure at any time with reasonable notice. All fees are non-refundable except as expressly stated otherwise. You are responsible for all taxes applicable to your transactions, and Ultimo is not responsible for determining whether taxes apply to your use of the Platform.
6. Intellectual Property
All content, features, and functionality on the Platform — including but not limited to text, graphics, logos, icons, images, audio clips, and software — are the exclusive property of Ultimo or its licensors and are protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to access and use the Platform for your personal, non-commercial use. You may not reproduce, distribute, modify, create derivative works of, or otherwise exploit any content without our express written permission.
7. Disclaimers
The Platform is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. Ultimo does not warrant that the Platform will be uninterrupted, error-free, or free of viruses or other harmful components. Nothing on the Platform constitutes financial, investment, legal, or tax advice. You acknowledge that past performance of any digital asset is not indicative of future results.
8. Limitation of Liability
To the maximum extent permitted by applicable law, Ultimo and its directors, employees, partners, agents, suppliers, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or in connection with your use of, or inability to use, the Platform. Our total aggregate liability to you for any claims arising under these Terms shall not exceed the fees paid by you to Ultimo in the three months preceding the claim.
9. Indemnification
You agree to indemnify, defend, and hold harmless Ultimo and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses — including reasonable legal fees — arising out of or in any way connected with your access to or use of the Platform, your violation of these Terms, or your infringement of any third-party rights.
10. Termination
We reserve the right to suspend or terminate your access to the Platform at any time, with or without cause, and with or without notice. Upon termination, your right to use the Platform will immediately cease. All provisions of these Terms which by their nature should survive termination — including ownership provisions, warranty disclaimers, indemnity, and limitations of liability — shall survive.
11. Governing Law & Disputes
These Terms shall be governed by and construed in accordance with applicable law. Any dispute arising out of or relating to these Terms or the Platform shall first be attempted to be resolved through good-faith negotiation. If a dispute cannot be resolved informally, it shall be submitted to binding arbitration. You waive any right to participate in a class action lawsuit or class-wide arbitration against Ultimo.
